(b) to identify products or services that are not those of RJHS;
(c) in a manner likely to cause confusion; or
(d) in a manner that implies inaccurately that RJHS sponsors or endorses or is otherwise connected with, your own activities, products and services or those of third parties.

If you violate any of these Terms and Conditions, your permission to use the Content automatically terminates and you must immediately destroy any copies you have made of any portion of the Content.

FEE-BASED SERVICE CHARGES.
Certain components or functionalities of this site are available only through the purchase of a site subscription ("Fee-Based Services").

(a) You agree to pay usage fees, applicable taxes, and other charges incurred on your account in order to access Fee-Based Services. RJHS reserves the right to increase fees, surcharges, and site subscription fees, or to institute new fees at any time, upon reasonable notice posted in advance on this Site. If you purchase a subscription to access the Fee-Based Services, the subscription is non-refundable.

(b) In addition to the charges set forth above, you are responsible for all charges associated with connecting to the Site, including without limitation all telephone access lines (including long-distance charges, when applicable), telephone and computer equipment and any service fees necessary to access the Fee-Based Services.

(c) For purposes of identification and billing, you agree to provide RJHS with accurate, complete, and updated information required by the site subscription registration to the Fee-Based Services ("Registration Data"), including your legal name, address, telephone number(s), other relevant information and applicable payment data (e.g., credit card number and expiration date). You may check, following subscription help instructions, to determine whether your Registration Data is current and accurate, and, if not, to correct or update your Registration Data. Failure to comply with this provision (including without limitation falsification of any Registration Data) may, at RJHS's option, result in immediate suspension or termination of your right to use the Fee-Based Services.

(d) You agree to promptly update your Registration Data, following subscription help instructions, in the event of any known or suspected unauthorized use of your subscription, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information. In the event of a breach of security, you will remain liable for any unauthorized use of your subscription until you update your Registration Data. If your credit card expires, is canceled, is lost or is subject to use without your authorization, or if your subscription is subject to use without your authorization, follow subscription help instructions to update your Registration Data.

(e) As part of the registration process, you will select or be assigned a password. You are solely responsible for maintaining the confidentiality of any password you use to access the Fee-Based Services, and agree that RJHS will have no obligations with regard thereto.

(f) You agree not to assign, transfer or sublicense your rights as a subscriber to the Fee-Based Services. You agree to be financially responsible for all usage or activity on your Fee-Based Services account.

NO-COMMERCIALIZATION POLICY.
You agree to use the Site and Fee-Based Services only in a noncommercial manner and in compliance with RJHS's No-Commercialization Policy. You specifically agree not to post, transmit or otherwise distribute to the Site any material containing any solicitation of funds, advertising or solicitation for goods or services.

LIABILITY OF R•J HEALTH SYSTEMS INTERNATIONAL, LLC AND ITS LICENSORS.
The use of the Reimbursement Codes Site and the Content is at your own risk.

When using the Reimbursement Codes Site, information will be transmitted over a medium which is beyond the control and jurisdiction of R•J Health Systems International, LLC and its suppliers. Accordingly, R•J Health Systems International, LLC assumes no liability for or relating to the delay, failure, interruption or corruption of any data or other information transmitted in connection with use of the Reimbursement Codes Site.

THE Reimbursement Codes SITE AND THE CONTENT ARE PROVIDED ON AN "AS IS" BASIS. R•J HEALTH SYSTEMS INTERNATIONAL, LLC, ITS LICENSORS, AND ITS SUPPLIERS, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.SPECIFICALLY, R•J HEALTH SYSTEMS INTERNATIONAL, LLC, ITS LICENSORS AND ITS SUPPLIERS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE FOLLOWING:

(a) The accuracy, reliability, completeness, currentness or timeliness of the Content, software, text, graphics, links, or communications provided on or through the use of the Reimbursement Codes Site or R•J Health Systems International, LLC

(b) Site fitness for a particular purpose, title, compatibility, security, or non-infringement

(c) The use of the site under any circumstances, including but not limited to negligence by RJHS.

(d) RJHS does not warrant that the functions contained in the site or the fee-based services will be uninterrupted or error-free, that defects will be corrected, that the site or fee-based services will meet any particular criteria of performance or quality, or that the site or the server(s) on which the site is operated, are free of viruses or other harmful components.

(e) The satisfaction of government regulations requiring disclosure of information on prescription drug products with regard to the Content contained on the Reimbursement Codes Site.

If you make any such submission, you automatically grantor warrant that the owner of such content has expressly granted R•J Health Systems International, LLC a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform and display the communication or content in any media or medium, or any form, format or forum now known or hereafter developed. R•J Health Systems International, LLC may sublicense its rights through multiple tiers of sublicenses.

INDEMNITY.

You shall cooperate as fully as reasonably required in the defense of any claim. RJHS reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of RJHS.

GENERAL.
R•J Health Systems International, LLC is based in Wethersfield, Connecticut, in the United States of America. R•J Health Systems International, LLC makes no claims that the Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. If you access the Reimbursement Codes Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. The following provisions survive the expiration or termination of these Terms and Conditions for any reason whatsoever: Liability, User Submissions, Indemnity, Jurisdiction, and Complete Agreement.

JURISDICTION.
You expressly agree that exclusive jurisdiction for any dispute with R•J Health Systems International, LLC, or in any way relating to your use of the Reimbursement Codes Site, resides in the courts of the State of Connecticut and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of Connecticut in connection with any such dispute including any claim involving R•J Health Systems International, LLC or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers.

These Terms and Conditions are governed by the internal substantive laws of the State of Connecticut, without respect to its conflict of laws principles. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

TERMINATION.
RJHS reserves the right to restrict, suspend or terminate your access to the Fee-Based Services in whole or in part, without notice, with respect to any breach or threatened breach of any portion of this Agreement. If RJHS terminates this Agreement based on a breach of any portion of this Agreement, RJHS reserves the right to refuse to provide a subscription or any Fee-Based Services to you in the future. Any fees paid are non-refundable.

COMPLETE AGREEMENT.
Except as expressly provided in a particular "legal notice" on the Reimbursement Codes Site, these Terms and Conditions constitute the entire agreement between you and R•J Health Systems International, LLC with respect to the use of the Reimbursement Codes Site, and Content. Your use of the Reimbursement Codes Site is also subject to the R•J Health Systems International, LLC Privacy Policy.
